Five items, each of which exists as an instrument and none of which appears unless somebody negotiates it in before signature.
Stage-based payment triggers
Every tranche tied to a verifiable construction stage rather than a calendar date, and confirmed by site inspection or an architect's certificate before the money leaves.
Why it carries the most weightA buyer whose payments stay in step with the building is never badly exposed, whatever else goes wrong.
A guarantee instrument
A garantia bancária in your favour, or a lawyer or notary escrow account holding staged payments apart from the developer's working capital, released on independently verified milestones.
Check before relying on itThe issuing bank, the exact sum covered, the trigger conditions, and the document itself.
A defined finishes schedule
The Mapa de Acabamentos with brand and model, or a defined quality standard, for the items that matter. Cap any substitution to equivalent or superior, subject to written approval.
StatusStandard conveyancing practice rather than settled case law. The enforceability of specific wording has not been tested in a citable way.
Snagging retention
5% to 10% held back for roughly twelve months after the deed, against defects that surface in use, with clear release conditions written in.
StatusContractually permissible in Portugal. Negotiated, not statutory.
A parent guarantee, where an SPV is involved
A fiança or garantia autónoma binding a solvent parent, enforceable where properly documented in writing.
The check that mattersIt is worth exactly the guarantor's own solvency. Verify the parent is not itself a shell.
An arbitration clause
Ordinary proceedings over construction defects commonly run for years at first instance before any appeal. A Ministry-supported arbitration centre runs in months.
Name the centreSpecify one with competence over construction disputes rather than assuming a given centre has it.
Where the building question ends
Drafting the contract, registering the CPCV for eficácia real, and the law governing deposits are transaction questions. What an inspection answers is narrower and physical: whether the construction stage you are about to pay for has actually been reached, and whether what was built matches what was specified and permitted.
